Free Workshop: Learn about the John Marshall Law School "Business Transactions Externship Program" That Provides Free Legal Assistance to Businesses and Not-for-Profit Organizations

Join us for a free workshop to introduce you to this program that matches businesses and nonprofits with law students. Attorney Michael Schlesinger oversees the program and will provide a presentation on how it works and how you can benefit from the services they offer.
What legal challenges do you face?
- How do you decide which form of business organization best meets your goals and objectives?
- Is there a business relationship you want to establish, but just don’t know how to get started?
- Have you received a contract that requires an explanation and that you want to negotiate?
- Do you have questions about financing the growth of your business, but have no one to ask?
- Are you so busy running the day-to-day operations of your business that planning for the future has been put on a back burner?
- Are there routine forms and documents that you have been using, not because they meet your needs, but because you found them in a book or on the Internet?
- The choice of entity for your business, including tax and non-tax consequences
- The structure of the entity, focusing on three areas: ownership, control, and financing
- Regulatory compliance, which involves interpreting the law that regulates the operation of your business
- Employment issues, including protection of confidential and proprietary information and contracts with key employees
- The use of form documents and the implications of contractual terms and provisions
- The structure of contractual and other relationships with suppliers and customers
- The review and negotiation of loan documents from banks and other third parties (Businesses and not-for-profit organizations often borrow money and are presented with a set of loan documents and expected to sign them. However, loan documents (loan agreement, promissory note, security agreement, etc.) are negotiable.)
- A legal assessment of not-for-profit organizations and for-profit businesses regarding: an organization’s or company’s compliance with regulatory requirements, tax status, enforceability of contracts, compliance with contractual obligations to lenders and other third parties, and a host of other issues
- Regular, routine business transactions that arise in the day-to-day operation of a business or not-forprofit organization
Speaker: Michael D. Schlesinger
Michael Schlesinger is the Director of the Business Transactions Externship Program at The John Marshall Law School. He also teaches Corporation Law and Transactional Law and Representing the Business Client at the law school. Previously he was a member of the Chicago law firm of Robbins, Salomon & Patt, Ltd., where his practice concentrated in the field of transactional law, principally on the organization, capital structure, financing, and ongoing representation of businesses; the acquisition, sale, and merger of business entities; the purchase and sale of commercial and multi-family residential real estate properties; litigation strategy; and estate and business succession planning. Michael has been engaged in a number of public service activities, including as a trustee of St. Augustine College, where he served for more than 10 years; a member of the board of directors of the Chicago Boys and Girls Club, Logan Square unit, and a term as its president; a volunteer with Habitat for Humanity in El Salvador and Guatemala and with Global Volunteers in Costa Rica; and a member of the advisory board of the Integrated Healthcare Project at Thresholds, sponsored by the University of Illinois School of Nursing.
Michael earned his undergraduate degree in economics from Dickinson College and his JD from The John Marshall Law School, where he was a member of the law review.
